Preamble

Welcome to Globeholder AI.

Globeholder AI provides access to an AI-native platform for physical and planetary reasoning, enabling developers, enterprises, and institutions to integrate decision-grade intelligence into their systems via APIs.

The Services give access to Thinking Lab™, a computational environment where AI agents operate as coordinated scientific systems, capable of reasoning across complex real-world domains — including energy systems, infrastructure networks, climate dynamics, and environmental processes.

Unlike traditional analytics platforms or geospatial tools, Globeholder AI enables:

  • Structured physical reasoning (Type-2 reasoning)
  • Simulation and scenario analysis
  • Long-term forecasting (including weather and climate)
  • Risk analytics and feasibility assessment
  • Support for capital allocation and critical investment decisions (e.g., data centers, nuclear, renewable assets)

The platform integrates world models, simulation engines, and heterogeneous data sources (satellite, meteorological, geospatial, environmental) to generate auditable, reproducible, and defensible Outputs.

This agreement (the "Agreement") is entered into between Globeholder AI, a French simplified joint-stock company ("Globeholder", "we", "us", "our"), and any person or entity accessing or using the Services ("you", "Customer").

By accessing or using the Services, you agree to be bound by this Agreement.

1. Definitions

The capitalized words in this document shall have the meaning set forth below:

  • 'Services': means all services provided by Globeholder AI via API or platform access, including: Thinking Lab™ APIs; physical reasoning engines; simulation and forecasting systems; agentic AI workflows; and any software, tools, or interfaces enabling integration into Customer systems.
  • 'Models': means any AI models, world models, simulation engines, or hybrid reasoning systems made available via the API, whether developed by Globeholder or integrated from third-party partners.
  • 'Outputs': means all results generated by the Services, including but not limited to: risk analytics; feasibility analyses; long-term forecasts (weather, climate, infrastructure performance); simulations and scenario outputs; and decision-support intelligence.
  • 'User Input Data': means any data submitted by the Customer through the API, including but not limited to: operational data; financial or investment data; geospatial or environmental data; and infrastructure-related data.

2. Purpose and Scope

2.1 Purpose

The purpose of this Agreement is to define the conditions under which the Customer may access and use Globeholder AI's APIs to:

  • Integrate physical reasoning and simulation capabilities into their systems
  • Generate decision intelligence for real-world applications
  • Support risk assessment, feasibility analysis, and capital allocation decisions

2.2 Scope and Contractual Documents

Scope. These Terms of Use apply to any Subscription, access to or use of the Services by You on the Platform or via a Marketplace (as defined in Section 4.4. (Subscription via a Marketplace)) of these Terms of Use.

Additional Terms. Some Services may be subject to additional terms specific to that Service as set forth in the applicable Terms of Service. By accessing or using a Service covered by the Terms of Service, You also agree to such Terms of Service.

Hierarchy. In case of any conflicts or discrepancies between these Terms of Use and the applicable Terms of Service, the applicable Terms of Service shall prevail.

3. Acceptance

General Principle. Any access or use of the Services by You implies Your unreserved agreement to these Terms of Use. You must read these Terms of Use carefully before using the Services. We recommend You download these Terms of Use, print them and keep a copy thereof. By clicking on 'I agree' (or any similar button or checkbox on the Platform) at the time You sign up for a Service or by signing a Purchase Order, You expressly agree to be bound by this Agreement.

Agreement on behalf of another person. If You agree to any of the terms composing this Agreement on behalf of Your employer or a legal entity, You warrant and represent that You possess the authority to act and accept such terms on their behalf. In such a case, the words 'You' or 'Customer' in this Agreement will refer to Your employer or that legal entity.

5. API Services

5.1 Nature of API Services

The API provides access to a computational reasoning environment, where:

  • AI agents decompose complex queries
  • Multi-source data is fused and contextualized
  • Simulations and models are executed
  • Hypotheses are tested and validated
  • Outputs are generated with traceability and auditability

The API is intended for advanced analytical and decision-support use cases, including but not limited to:

  • Energy systems analysis (nuclear, renewable, grid)
  • Infrastructure planning (including data centers)
  • Climate risk modeling and long-term forecasting
  • Financial and investment strategy

5.2 Not a Traditional Analytics or GIS Service

The Services are not limited to geospatial analytics, mapping tools, or traditional spatio-temporal analysis. They constitute a new class of AI-native reasoning systems, capable of:

  • Operating across multi-dimensional physical systems
  • Performing structured reasoning beyond statistical correlations
  • Generating decision-grade intelligence rather than descriptive analytics

5.3 Decision Support Disclaimer

The Services provide decision-support outputs only. While Globeholder AI is designed to produce auditable, reproducible, and scientifically grounded insights, the Outputs:

  • Do not constitute financial, legal, engineering, or regulatory advice
  • Should not be used as the sole basis for decisions
  • Must be independently validated by qualified professionals

The Customer remains solely responsible for:

  • Any decisions made based on the Outputs
  • Compliance with applicable laws and regulations

5.4 Partner & Infrastructure Integration

Globeholder AI operates a modular and partner-enabled architecture. The Services may integrate:

  • Third-party models
  • External simulation frameworks
  • Cloud and infrastructure providers

Globeholder AI does not rely exclusively on any single technology provider and may evolve or replace components of its stack at its discretion.

6. Evolution of API Services

Given the rapid evolution of AI and simulation technologies, Globeholder AI reserves the right to:

  • Update APIs, models, and reasoning systems
  • Modify simulation methodologies
  • Improve or deprecate features

Such changes are part of continuous improvement and may occur without prior notice, unless otherwise contractually specified.
